1. Agreement to Terms
By installing, accessing, or using Clockout ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Clockout is a PTO management application that integrates with Slack. The Service allows teams to request, approve, and track paid time off directly within their Slack workspace. Features include PTO request workflows, approval routing, team calendars, and reporting.
3. Accounts
To use the Service, an authorized member of your Slack workspace must install the Clockout Slack app. Individual users interact with the Service through their existing Slack accounts.
Workspace administrators who install the Service are responsible for managing its configuration and for all activity that occurs within their workspace's use of the Service.
You agree to notify us immediately of any unauthorized use of the Service within your workspace.
4. Pricing and Payment
The Service is billed at $1 per user per month. Pricing is subject to change with 30 days' prior notice to active subscribers.
Payment is processed through a third-party payment provider. By subscribing, you authorize recurring charges to your selected payment method.
All fees are non-refundable except as required by applicable law.
5. Workspaces and Administration
Workspace administrators are responsible for configuring PTO policies, approval workflows, and user access within the Service.
Administrators may assign roles, set PTO policies, define approval chains, and manage reporting access. Individual users within a workspace are subject to the policies and configurations set by their administrator.
When you use the Service within a workspace, you agree that the workspace administrator may manage your access to the Service, including revoking access at any time.
6. User Conduct
You agree not to:
Use the Service to violate any applicable law or regulation
Attempt to gain unauthorized access to the Service or its related systems
Reverse engineer, decompile, or disassemble the Service
Redistribute, sublicense, or resell the Service
Use the Service to transmit malicious code or interfere with other users' access
Use automated means to access the Service in a manner that exceeds reasonable use
Submit fraudulent PTO requests or manipulate PTO records
Use the Service to collect personal information about other users for purposes unrelated to PTO management
7. Intellectual Property
The Service, including its design, code, and documentation, is owned by PKRV LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
Your PTO records, policy configurations, and other content created within the Service remain your property. We claim no ownership over your data.
8. Third-Party Integrations
Clockout integrates with Slack and may offer integrations with external HR systems, calendar applications, and other third-party services. You are responsible for ensuring you have the appropriate permissions to connect these services. We are not affiliated with and make no representations about third-party services.
Your use of Slack is governed by Slack's own terms of service. The Service's functionality depends on Slack's platform availability and APIs, which are outside our control.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
The Service processes PTO-related data, which may include employee names, email addresses, request dates, and approval records. This data is transmitted through and stored on our servers to enable the Service's functionality. We use encryption in transit and at rest to protect this data.
Because the Service operates within Slack, certain data is also subject to your Slack workspace's data policies and Slack's own privacy practices.
10. Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as available" basis.
The Service depends on Slack's platform availability. We are not responsible for outages or disruptions caused by Slack or other third-party services.
We may perform maintenance, updates, or modifications to the Service that may temporarily affect availability. We will provide reasonable notice for planned maintenance where possible.
11. Termination
You may stop using the Service by uninstalling the Clockout app from your Slack workspace at any time. Upon removal, your data will be handled in accordance with our Privacy Policy.
We may suspend or terminate your access to the Service if you violate these Terms, with notice where practicable. In the event of termination, you will have a reasonable period to export your data.
12. Limitation of Liability
To the maximum extent permitted by applicable law, PKRV LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages for loss of data, revenue, or business opportunity.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your specific requirements or that results obtained from the Service will be accurate or reliable.
14. Indemnification
You agree to indemnify and hold harmless PKRV LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in El Paso County, Colorado.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by notifying workspace administrators. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
If you disagree with updated Terms, you may stop using the Service and uninstall the app from your Slack workspace.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PKRV LLC regarding the Service and supersede any prior agreements.
